Breezee is an AI-powered productivity and automation platform designed to help individuals, businesses, and nonprofit organizations organize information, manage tasks, automate workflows, connect third-party applications, and streamline daily operations.

Breezee may integrate with third-party services including email providers, calendars, contact systems, cloud storage providers, customer relationship management platforms, and other software applications.

You must be at least 18 years old to use Breezee. By using the Services, you represent that you have the legal authority to enter into these Terms.

If you are using Breezee on behalf of a business, nonprofit, or other organization, you represent that you have authority to bind that organization to these Terms.

To access certain features, you may be required to create an account.

You agree to:

• Provide accurate and complete information • Keep your account information up to date • Maintain the security of your login credentials • Notify us promptly of any unauthorized access to your account

You are responsible for all activities that occur under your account.

Breezee may allow you to connect third-party services such as Google Workspace, Microsoft 365, QuickBooks, CRM systems, cloud storage providers, and other applications.

By connecting these services, you authorize Breezee to access and process the information necessary to provide requested functionality.

Your use of those third-party services remains subject to their own terms, conditions, and privacy policies.

Breezee uses artificial intelligence to provide recommendations, summaries, automations, content generation, workflow assistance, scheduling support, and other productivity features.

While we strive to provide useful and accurate results, AI-generated outputs may contain inaccuracies, omissions, or errors.

You are responsible for reviewing and verifying any information, recommendations, communications, or actions generated by Breezee before relying upon them. Breezee is intended to assist users, not replace professional judgment.

You retain ownership of all content, data, documents, communications, and information that you upload, create, or store within Breezee ("User Content").

You grant Breezee a limited, non-exclusive license to host, store, process, transmit, and display User Content solely for the purpose of providing the Services.

We do not claim ownership of your User Content.

You agree not to use Breezee to:

• Violate any applicable law or regulation • Infringe on the rights of others • Transmit malicious software or harmful code • Attempt unauthorized access to systems or accounts • Interfere with the operation or security of the Services • Engage in fraudulent, deceptive, or unlawful activities • Distribute spam or unsolicited communications

We reserve the right to suspend or terminate accounts that violate these Terms.

Some Breezee features may require a paid subscription.

By purchasing a subscription, you agree to:

• Pay all applicable fees • Provide accurate billing information • Authorize recurring charges where applicable

Subscription fees are generally non-refundable unless required by law or otherwise stated in a separate agreement. We reserve the right to modify pricing with reasonable notice.

Breezee, including its software, trademarks, logos, designs, user interface, and related content, is owned by Breezee and protected by intellectual property laws.

You may not copy, modify, distribute, reverse engineer, or create derivative works based on Breezee except as expressly permitted by law.

Your use of Breezee is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

We strive to provide reliable service but do not guarantee uninterrupted access.

The Services may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control.

We reserve the right to modify, suspend, or discontinue any feature at any time.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREEZEE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BREEZEE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE USE OF THE SERVICES.

IN NO EVENT SHALL BREEZEE'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU TO BREEZEE DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

You agree to indemnify, defend, and hold harmless Breezee, its officers, employees, contractors, affiliates, and partners from any claims, damages, liabilities, costs, or expenses arising from:

• Your use of the Services • Your violation of these Terms • Your violation of any law or third-party rights

You may stop using Breezee at any time.

We may suspend or terminate your access if:

• You violate these Terms • Your use poses a security risk • Required by law

Upon termination, your right to access the Services will end.

We may update these Terms from time to time. When changes are made, we will update the "Last Updated" date above. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any disputes arising from these Terms shall be resolved in the state or federal courts located in Dallas County, Texas.
